Terms & Conditions

  1. All the materials to be of the best description and quality as described and equal to samples. They are to be delivered as specified in the Tender in a safe and sound condition and to the entire satisfaction of the Company.
  2. Any Contract will be covered by the condition of the Company's Accounting Instructions/Standing Orders with respect to Tenders and Contracts, copies of which can be obtained from the Company's Head of Finance.
  3. Where an appropriate British Standard Specification or British Standard Code of Practice issued by the British Standards Institution is current at the date of Tender, every Contract shall require that all goods and materials used or supplied, and all the workmanship shall be at least of the standard required by the appropriate British Standards or Code of Practice.
  4. The Company shall be entitled to cancel the Contract and to recover from the contractor the amount of any loss resulting from such cancellation, if the Contract shall have offered or given or agreed to give any person any gift or consideration of any kind as an inducement or reward for doing or forbearing to do, or for having done or forborne to do, any action in relation to the obtaining or execution of the Contract or any other Contract with the Company or for showing or forbearing to show favour or disfavour to any person employed by him or acting on his behalf (whether with or without the knowledge of the Contractor) or if in relation to any Contract with the Company The Contractor or any person employed by him or acting on his behalf shall have committed any offence under the Prevention of Corruption Acts, 1889 to 1916 or shall have given any fee or reward the receipt of which is an offence under Section 117(2) of the Local Government Act 1972, or under any Act of Acts which may subsequently be passed to amend the same.
  5. (i) The Contractor shall comply with the Company's reasonable requests for information concerning his financial and technical ability to complete Contracts for the execution of works or supply of goods to the satisfaction of the Company.
    (ii) The Contractor shall provide the Company with an assurance that he will not follow, or has not followed, in relation to the Contract, the undermentioned practices.
    a) Communicating to any third party the amount of any proposed Tender in accordance with any agreement or arrangement so to communicate.
    b) Adjusting the amount of any proposed Tender in accordance with any agreement by the Tenderer and any third party.
    c) The Contractor shall provide the Company with a satisfactory written statement of his general policy with respect to the health and safety at work of his employees in accordance with the provision of Section 2(3) of the Health and Safety at Work Policy.
  6. Value Added Tax: The rates and prices must not include VAT. VAT , if applicable, will be added to the price at the rate prevailing at the tax point.

    SUPPLIES AND SERVICES
  7. Where the contract is for the supply of goods in excess of £5,000 should the Contractor fail to deliver the goods or any part of it within the time or times specified in the Contract, the Company without prejudice to any other remedy for Breach of Contract, shall be at liberty to determine the Contract either wholly or to the extent of such default and to purchase other goods of the same or similar description to make goods a) such default, or b) in the event of the contract being wholly determined the goods remaining to be delivered. The amount by which the cost of so purchasing other goods exceeds the amount of which would have been payable to the Contractor in respect of the goods, if they have been delivered in accordance with the Contract shall be recoverable from the Contractor.

    SUB CONTRACT
  8. The Contractor shall not
    a) assign or underlet the Contract, or any part of it, except with the consent of the Company.
    b) Sub-Contract, except with the prior agreement and or the written consent of the Company or the appropriate Supervising Officer. The principal Contractor shall be responsible for all work done by their Sub-Contractors and for it being carried out under the same conditions of the Contract.
  9. The Contractor must comply with the Company's Accounting Instructions/Standing Orders and in the case of Contracts for the execution of works with any national working rules and conditions of the National Joint Council for the Building Industry as may be appropriate to the type of work being undertaken.
  10. i) The Contractor shall be liable for and shall indemnify the Company against any liability, loss, claim or proceedings whatsoever in respect of personal injury (fatal or otherwise) to any person or damage to any property insofar as such injury or damages arises out of or in the course of or by reason of the carrying out of the work to which this specification relates, unless due to any act or neglect of the Company or any of its' employees.
    ii) The Contractor shall maintain a Public and Employers Liability Policy of Policies or Insurance including an indemnity to the Company as principal for an amount of indemnity not less than £1,000,000.
  11. The work to proceed at an agreed start date within one week of acceptance of Quotations or by agreement.
  12. The work to be completed within two weeks of the agreed start date unless otherwise specified or agreed.
  13. The Contractor is to advise the Supervising Officer or his agent immediately upon discovering any divergence between contract conditions and site requirements.
  14. All contractors employed must comply with the company's equality and diversity principles.
